Corporate governance is a critical framework that shapes the way organizations are directed, controlled, and operated. It represents a set of principles, practices, and rules that guide how a company is managed and how it interacts with its various stakeholders, including shareholders, executives, employees, customers, suppliers, and the broader community. This system of governance plays a pivotal role in defining the ethical, transparent, and accountable behaviour of a corporation while seeking to maximize its value and sustainability.
This research paper explores the significant role that institutional investors play in corporate governance. It examines the influence of institutional investors on corporate decision-making, board composition, shareholder activism, and the overall governance structure of publicly traded companies.
This paper also examines legal protections and corporate policies aimed at safeguarding institutional investors, highlighting the need for stronger legal frameworks to encourage reporting.
