Shareholder Activism Under Indian Company Law: A Restrain On Arbitrary Functioning

ABSTRACT

The present study strives to understand what is Shareholder Activism under the Companies Act, 2013, the process and the effect it has on the working of the company and the relation between the involved parties.

Shareholder Activism is a course of action that is resorted by the shareholders of a company in order to bring about a positive change within their company or to influence the decision of the company using their ownership privileges and working within the legal framework. A doctrinal type of research methodology has been used to elaborate and understand the concept of Shareholder Activism and its application in the contemporary corporate world, making use of online articles, research papers and other sources of information.

Furthermore, the role of shareholders is extremely valuable in the working of the company and therefore, it is necessary that their rights and interests be protected. The present study has revealed that there has been changing trends in shareholder participation in corporate decision making in India, owing to the introduction and implementation of the process of shareholder activism.
