ABSTRACT


This paper discusses the dynamics of insider trading relative to securities laws complemented by Technological development, globalization, and shifts in market structures. Whereas insider trading has been an enforcement priority in its own right for decades, novel threats including high-frequency trading, algorithmic trading and political intelligence have presented new challenges in enforcement. The paper also describes how various regulatory authorities across the globe including the SEC, ESMA and SEBI have addressed these challenges and how there are loopholes in existing laws and in the systems of enforcement. It also touches on the future of governance for policy makers, regulators and firms in the area of improved practice and compliance related matters. Last, the paper offers suggestions for future research based on artificial intelligence and blockchain technology for the enhancement of insider trading detection in the growing sophisticated financial market environment.
