Independent Director: A Look At The Changing Dynamics Of Liability

ABSTRACT

The Companies Act 2013 is the legal frame work that governs the conduct of the companies operating in India. The board of directors in a company are responsible for taking decisions and regulating the conduct of the company. The act identifies different types of directors namely, the managing director, nominee director, etc. Amongst this, there is a post of independent director. The responsibilities associated with the position of an Independent Director along with the role, functions, selection process, etc have been discussed in brief. This article looks into the liability of an independent director studying it from what it was before the Companies Act, 2013 to what it is now after the enactment of various regulations by authorities.
