Corporate Governance And Corporate Social Responsibility: A Review On The Differences And Similarities Between The Two Mechanisms

ABSTRACT:
One of the key distinctions between Corporate Governance (CG) and Corporate Social Responsibility (CSR) lies in their underlying objectives. While CG primarily aims at optimizing shareholder value and maintaining ethical standards, CSR goes beyond profit generation by focusing on the broader well- being of society and the environment. In the realm of transparency and accountability, both CG and CSR play pivotal roles. Transparency is essential in CG to ensure that shareholders have access to relevant information for decision-making, while CSR demands transparency in reporting the social and environmental impacts of a company's operations, enhancing trust among stakeholders. Strategic planning and risk management are common threads weaving through the fabric of CG and CSR. CG necessitates strategic planning to align corporate goals with shareholder interests and mitigate financial risks. Similarly, CSR involves strategic planning to identify opportunities for positive societal impact and manage the associated risks, safeguarding a company's reputation. The convergence of CG and CSR often takes place when boards of directors oversee CSR initiatives. This alignment allows organizations to integrate their core values with social responsibility objectives, reinforcing the importance of ethical conduct and sustainability within the corporate framework. Nevertheless, CG and CSR remain distinct in their primary areas of concern. CG places a predominant emphasis on financial performance and compliance with regulations, ensuring that a company operates efficiently and within the confines of the law. In contrast, CSR encompasses a broader spectrum of ethical conduct, sustainability practices, and a holistic consideration of all stakeholders' welfare, including employees, communities, and the environment. The intricate interplay between Corporate Governance and Corporate Social Responsibility reveals a delicate balance between profit optimization and societal well-being, underpinned by transparency, accountability, and strategic planning. While they share commonalities, their distinctions highlight the multifaceted nature of responsible corporate management in today's complex business landscape.
