ABSTRACT
This paper presents a meticulous examination of the evolving judicial trends surrounding the condonation of delay in share transfers and the forfeiture of shares within the realm of corporate law. Share transfers are pivotal transactions in the corporate sphere, often governed by stringent statutory provisions and contractual agreements. However, delays in executing such transfers can have profound implications for shareholders and corporations alike, prompting courts to grapple with the delicate balance between upholding legal formalities and ensuring equitable outcomes. Drawing upon an extensive analysis of statutory provisions, judicial precedents, and scholarly commentary, this research elucidates the nuanced considerations that courts employ when confronted with applications for condonation of delay in share transfers. Factors such as the reasons for delay, the presence of genuine hardship, and the potential prejudice to stakeholders emerge as pivotal determinants in judicial decision-making processes. Through a comprehensive review of relevant case law, this paper identifies emerging judicial trends and discerns the underlying principles shaping the adjudication of condonation applications across various jurisdictions. Furthermore, this research delves into the intricate legal framework surrounding the forfeiture of shares, exploring the circumstances under which courts may invoke this drastic remedy in response to non-compliance with share transfer procedures or breaches of shareholder agreements. By analysing key judicial decisions and statutory provisions, this paper offers insights into the grounds for forfeiture, judicial interpretations thereof, and the practical implications for shareholders and corporations.
The comparative analysis undertaken herein juxtaposes the principles governing condonation and forfeiture, shedding light on jurisdictional disparities and convergences in judicial approaches.
